Corporate governance is the process that provides an appropriate balance between shareholder rights and proper exercise of the Board of Directors' duties and responsibilities in order to ensure that the Board of Directors' business judgment is well supported and appropriate issues and risks are timely surfaced and dealt with by the Board.
